The Company Act prescribes the qualification for a company secretary.

Directors may withhold dividends if the company is in a growth phase, faces insolvency risks, or requires capital that would be too expensive to borrow externally.

The secretary has to prepare notice before the meeting to inform all the members about the schedule, date and time of the meeting. The notice is compulsory to be prepare before the general meeting.

Under the Companies Act, Key Managerial Personnel (KMP) include the CEO, MD, Manager, Company Secretary, and CFO. Therefore, both CFO and Company Secretary are correct.
